By accessing our website, creating an account, downloading free assets, or purchasing digital templates, you agree to be bound by these Terms and our associated policies (including our Privacy Policy, Template License, and Refund Policy). If you do not agree to these Terms, you must not use or access PrebuiltUI.
Eligibility and Account Registration
- Age Requirement: You must be at least 18 years of age (or have reached the age of majority in your jurisdiction) to enter into a binding contract and use our services.
- Account Security: When creating an account or authenticating via third-party providers (such as GitHub or Google), you agree to provide accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- Unauthorized Use: You must notify us immediately at contact@prebuiltui.com if you suspect any unauthorized access to or breach of your account.
Digital Products and Licensing Scope
- Licensed, Not Sold: All digital products, website templates, UI component libraries, and source code packages available on PrebuiltUI are licensed, not sold, to you.
- License Terms: Your download or purchase of a template grants you a non-exclusive, non-transferable, revocable license to use the product strictly in accordance with our Template License.
- Delivery: Digital products and code packages are delivered electronically via direct download links, email notifications, or your user dashboard upon completed payment or registration.
Acceptable Use and Restrictions
You agree to use PrebuiltUI only for lawful purposes and in accordance with these Terms. You agree not to:
- Redistribute or Resell: Sublicense, resell, rent, lease, share, transfer, or redistribute the source files, UI components, or templates as standalone digital assets, templates, UI kits, or code libraries.
- Create Competing Products: Use PrebuiltUI templates, components, or assets to build or power a competing template marketplace, component library, UI kit, or design system for resale.
- Reverse Engineer: Attempt to decompile, reverse engineer, or extract proprietary backend code, API endpoints, or platform infrastructure.
- Engage in Malicious Activity: Introduce viruses, malware, trojans, worms, automated scrapers, or other harmful code to the website or services.
- Misrepresent Ownership: Claim copyright, patent, trademark, or intellectual property ownership over original PrebuiltUI templates and assets.
Purchases, Pricing, and Billing
- Pricing: All template prices are listed on the product pages in USD (and localized currencies where supported). We reserve the right to change prices and discontinue products at any time without prior notice.
- Billing and Payment: Payment must be made in full through our integrated third-party payment gateways before digital access is granted. By providing payment details, you represent that you are authorized to use the chosen payment method.
- Taxes: You are responsible for all applicable sales taxes, value-added taxes (VAT), goods and services taxes (GST), or other governmental fees related to your purchase.
- Digital Nature of Sales: Due to the non-tangible, irrevocable nature of digital source code downloads, all purchases are final and governed by our Refund Policy.
Intellectual Property Rights
- PrebuiltUI Ownership: All trademarks, logos, brand names, website design, UI components, documentation, codebases, templates, and digital media on PrebuiltUI are the exclusive property of PrebuiltUI and protected by applicable copyright, trademark, and intellectual property laws.
- Your Derivative Works: You retain ownership of your custom business logic, content, images, and branding that you integrate into an end product built with our licensed templates, subject to our underlying ownership of the base template code.
Third-Party Frameworks and Dependencies
Our templates and components are built using open-source technologies such as Tailwind CSS, React, Next.js, and related libraries.
- PrebuiltUI is independent and not officially affiliated with, endorsed by, or sponsored by Tailwind Labs, Vercel, or React.
- Open-source packages bundled within our templates are subject to their respective open-source licenses (e.g., MIT, Apache 2.0).
Disclaimer of Warranties
PrebuiltUI products and services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, statutory, or implied.
To the fullest extent permitted by applicable law, PrebuiltUI expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, compatibility, security, or error-free operation. We do not guarantee that our templates will meet all your specific requirements or operate uninterrupted without bugs.
Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall PrebuiltUI, its founders, directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, data, revenue, business opportunity, or goodwill, arising out of or in connection with:
- Your use of or inability to use our website, templates, or UI components.
- Any bugs, errors, inaccuracies, or security vulnerabilities in downloaded code.
- Unauthorized access to or alteration of your transmissions or data.
In any case, our total cumulative liability to you for all claims arising under these Terms shall be limited to the total amount paid by you to PrebuiltUI for the specific product giving rise to the claim during the six (6) months prior to the incident.
Indemnification
You agree to defend, indemnify, and hold harmless PrebuiltUI, its officers, employees, contractors, and agents from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising from:
- Your breach of these Terms or the Template License.
- Your use or misuse of our digital templates and components.
- Any end product, application, or website you develop and deploy using PrebuiltUI code.
Termination
We reserve the right, without notice and at our sole discretion, to suspend or terminate your account and revoke your licenses if you fail to comply with these Terms, infringe upon our intellectual property rights, or engage in unauthorized redistribution of our products. Upon termination, you must immediately destroy all unauthorized copies of the downloaded source code in your possession.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach thereof shall be resolved through good-faith negotiations or submitted to the competent courts having jurisdiction over PrebuiltUI's principal place of business.
Changes to These Terms
We reserve the right to revise or update these Terms of Service at any time. Changes become effective immediately upon posting to this page. Your continued use of the website and products following any revisions constitutes your acceptance of the updated Terms.
